Terms of Service

1. Acceptance

By creating an account or using Xerion ("the Service"), you agree to these Terms. If you don't agree, please don't use the Service.

2. Licenses

Xerion is sold as a one-time license, not a subscription. Your license grants you ongoing access to the tools included in your tier, including improvements and updates we make to those tools. Licenses are for your own use (personal or for your own business) and may not be resold or shared between accounts.

Xerion is actively developed: tools and features may be added, changed, or improved over time. We may retire an individual tool where necessary, in which case we will provide notice and your data will remain available through Export My Data.

3. Accounts

Accounts require a valid license. You're responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly if you believe your account has been compromised.

4. Acceptable use

You agree not to:

• Use the Service for anything illegal or to violate others' rights
• Attempt to access another user's account or data without authorization
• Interfere with or disrupt the Service's operation, including the "Install Tool" system
• Use the redirect/link, proposal-sharing, or testimonial-submission features to distribute spam, malware, or deceptive content
• Reverse engineer the Service beyond what's permitted by applicable law

5. Your content

You retain ownership of the content you create using Xerion's tools (documents, financial data, client records, and similar). You're solely responsible for the accuracy and legality of the content you enter, including anything used for invoicing, proposals, or financial recordkeeping - Xerion's tools are aids, not professional financial, legal, or tax advice.

6. Availability

We aim to keep the Service available but don't guarantee it will be uninterrupted or error-free. We recommend exporting important data periodically via Export My Data.

7. Limitation of liability

To the fullest extent permitted by law, Xerion is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including data loss, business interruption, or reliance on tool output (calculations, generated documents, or estimates).

8. Termination

We may suspend or terminate accounts that violate these Terms. You may stop using the Service and request account deletion at any time by contacting support.

8b. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

9. Changes

We may update these Terms as the Service evolves. Continued use after changes are posted constitutes acceptance of the updated Terms.
