Terms of Service

1. Acceptance

By creating an account or using Xerion ("the Service") at xerionsoft.net, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. Plans and access

Access to the tools is sold as a subscription plan: Personal, Business or Dual. Dual is Personal and Business together, so it includes every tool. Current prices are shown on the pricing page. Prices are in USD and payment is taken by Stripe on its own checkout page. Your card details never touch Xerion.

Plans renew automatically on the interval you pick (monthly, every 3 months, every 6 months or yearly) until you cancel. Longer intervals cost less per month; the pricing page shows the equivalent monthly rate and the saving for each one. Cancel any time from Account > Billing. You keep access until the end of the period you have paid for. If a renewal payment fails, access continues for a 3-day grace period while Stripe retries. Switching plans starts the new plan immediately and cancels the old one; unused time on the old plan is not credited, so the switch screen tells you to switch close to your renewal date.

Every new account starts a 7-day free trial of every tool. No payment card is needed to start. The trial starts when you confirm your email address, not when you fill in the form. One free trial per person. Finish the four-step Getting Started checklist on your dashboard and 3 more days are added. Creating extra accounts to obtain additional trials is not permitted.

Lifetime licences bought before the switch to plans ($25, one time) keep every tool, forever, exactly as sold. Unredeemed licence keys, including gift keys, stay redeemable on the Redeem a licence key page. Redeem a key.

A plan or licence is for one person's own use, personal or for their own business. It may not be shared between accounts or resold.

Xerion is actively developed: tools may be added, changed or improved over time. We may retire an individual tool where necessary, in which case we will give notice and your data will remain available through Export My Data.

3. Accounts

Creating an account is free. Most tools need an active free trial, a subscription plan or a legacy lifetime licence; the five free tools work without any of those, and without an account. When a trial or plan ends, your account and saved work stay as they were: opening a tool asks you to choose a plan, and you can still sign in, export your data, change account and notification settings and redeem a licence key.

You are responsible for keeping your login credentials secure and for all activity under your account. Keep the email address on your account working, because we use it for verification, password resets and security notices. Tell us promptly if you believe your account has been compromised.

4. Acceptable use

You agree not to:

• Use the Service for anything illegal or to violate others' rights
• Attempt to access another user's account or data without authorisation
• Interfere with or disrupt the Service's operation, including the "Install Tool" system
• Use the redirect/link, proposal-sharing, testimonial-submission, public page (bio, blog, countdown, RSVP) or gift-message features to distribute spam, malware, harassment or deceptive content
• Send email through Xerion (invoices, quotes, "Email this to me", design emails) to people who have not asked to hear from you
• Reverse engineer the Service beyond what is permitted by applicable law

Text you publish on public pages or send by email through the Service is checked automatically for threatening or hateful language, and anyone can report content to us. We may remove public content or block sends that break these Terms.

5. Your content

You retain ownership of the content you create using Xerion's tools (documents, financial data, client records and similar). You are solely responsible for the accuracy and legality of what you enter, for anything you publish on a public page, and for having the right to send documents to the addresses you enter. That includes anything used for invoicing, proposals or financial record-keeping: Xerion's tools are aids, and their output (calculations, generated documents, estimates, plans and similar) is not professional financial, legal, tax, engineering or medical advice.

6. Availability

We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free. We recommend exporting important data periodically via Export My Data.

7. Limitation of liability

To the fullest extent permitted by law, Xerion is not liable for indirect, incidental or consequential damages arising from your use of the Service, including data loss, business interruption or reliance on tool output (calculations, generated documents or estimates).

8. Termination

We may suspend or terminate accounts that violate these Terms. You may stop using the Service at any time, cancel a plan from Account > Billing, and ask us to delete your account by contacting support from the email address on your account. Deletion removes your account, everything you saved and your uploaded files; subscription payment records are kept for accounting with your account detached from them, as set out in the Privacy Policy and on your Account page. Cancel any live subscription first, or ask us to, so that renewals stop.

9. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

10. Changes

We may update these Terms as the Service evolves. Changes are reflected by updating the date at the top of this page, and continued use after changes are posted constitutes acceptance of the updated Terms.
